1. Agreement to Terms

This Agreement is between you, the user, and SigmaQu.

The SigmaQu Platform (including our mobile applications available on the Apple App Store and Google Play Store, and our web platform, collectively the "Platform") is comprised of various web pages and services operated by SigmaQu, a limited company registered in Scotland (Company Number: SC826093).

Your access to and use of the Platform is conditioned upon your acceptance, without modification, of the terms, conditions, and notices contained herein ("Terms"). By using the Platform, you are agreeing to all such Terms. If you do not agree to these Terms, do not use the Platform.

2. Modification of These Terms of Use

SigmaQu reserves the right to change the terms, conditions, and notices under which the Platform is offered, including but not limited to the charges associated with its use. We will notify you of any material changes by posting the updated terms on our website or within the app, or by sending you an email. Your continued use of the Platform after such modifications constitutes your acceptance of the revised terms.

3. Links to Third-Party Sites

The Platform may contain links to other websites ("Linked Sites"). These Linked Sites are not under the control of SigmaQu, and SigmaQu is not responsible for the contents of any Linked Site, including any link contained within or any changes or updates to a Linked Site. SigmaQu provides these links to you only as a convenience, and the inclusion of any link does not imply endorsement by SigmaQu of the site or any association with its operators.

4. No Unlawful or Prohibited Use and User Conduct

As a condition of your use of the Platform, you warrant that you will not use it for any purpose that is unlawful or prohibited by these Terms. You may not use the Platform in any manner which could damage, disable, overburden, or impair it or interfere with any other party's use and enjoyment of the Platform.

When using any communication services or submitting content or prompts to our AI tools, you agree to not:

SigmaQu has no obligation to monitor user-generated content but reserves the right to review and remove any materials in its sole discretion and to terminate your access at any time without notice for any reason whatsoever.

• Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights of others.
• Publish, post, upload, distribute, or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent, or unlawful material.
• Upload files that contain software or other material protected by intellectual property laws unless you own or control the rights thereto or have received all necessary consents.
• Upload files that contain viruses, corrupted files, or similar harmful software.
• Advertise or offer to sell or buy any goods or services for any business purpose, unless specifically permitted.
• Conduct or forward surveys, contests, pyramid schemes, or chain letters.
• Harvest or otherwise collect information about others, including e-mail addresses, without their consent.
• Violate any applicable laws or regulations, including Scots Law and any applicable local laws.
• Use the Platform or its AI tools (including those powered by Google Gemini API and Imagen) to generate, upload, or process any content that is illegal, harmful, hateful, discriminatory, infringing on intellectual property, or designed to mislead, deceive, or harass.

5. Intellectual Property Rights and User-Generated Content

User Ownership: You, the user, retain ownership of all intellectual property rights in the original content you create and generate using the Platform's tools.

License to SigmaQu: By creating, posting, or submitting your content, you grant SigmaQu a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, and store such content solely for the purposes of operating, providing, and improving the Platform and its services for you.

AI Model Improvement: You acknowledge that your input prompts and generated content may be used by SigmaQu to improve and train our AI models or those of our third-party AI service providers (e.g., Google's models), primarily through automated processes and where possible in an anonymized or aggregated form, in accordance with our Privacy Policy and UK GDPR.

User Warranties: You warrant and represent that you own or otherwise control all of the rights to the content you submit and that your content does not infringe on the intellectual property rights or other rights of any third party.

AI Content Disclaimer: You understand that content generated by AI tools may not always be accurate, complete, original, or suitable for your specific purposes. We do not guarantee the originality, factual accuracy, or non-infringement of any AI-generated content. You are solely responsible for verifying the suitability, accuracy, and legality (e.g., trademark availability) of any content generated through the Platform before using it for any commercial, public, or critical purpose.

Data Backup: You are solely responsible for creating and maintaining backup copies of any content you create or store on the Platform. SigmaQu is not responsible for any loss, corruption, or deletion of your content.

6. Service Availability and Disclaimer

SigmaQu strives to keep the Platform and its services available; however, we do not guarantee uninterrupted access or specific uptime. The service may be unavailable from time to time due to maintenance, technical issues, or other factors. We are not liable for any service interruptions, delays, or data loss.

7. No Guarantee of Business Success or Outcome; No Professional Advice

The Platform provides tools for informational, analytical, and creative assistance purposes only. SigmaQu does not guarantee the success, profitability, or outcome of any business or decision made based on the use of the Platform. The business landscape is inherently uncertain. The content provided or generated does not constitute financial, legal, investment, marketing, or any other form of professional advice. We strongly advise you to consult with qualified professionals for specific guidance.

8. Limitations of Business Analysis and Management Tools

The business analysis and management tools within the Platform are intended to assist in data organization and general insights. SigmaQu makes no representations regarding the accuracy or completeness of these tools. They are not a substitute for professional accounting or expert business consulting.

9. User's Responsibility for Evaluation and Due Diligence

You acknowledge that the Platform is provided as a technological aid. It is your sole responsibility to exercise independent judgment and conduct your own thorough research, analysis, and due diligence before making any business or financial decisions based on its output.

10. Liability Disclaimer

THE PLATFORM, INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SigmaQu AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SigmaQu AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE PLATFORM.

NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE OUR LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY THE LAWS OF SCOTLAND. IF YOU ARE A CONSUMER, YOUR STATUTORY RIGHTS ARE NOT AFFECTED BY THESE TERMS.

11. Indemnification

You agree to indemnify, defend, and hold harmless SigmaQu, its officers, directors, and employees from and against any and all claims, liabilities, damages, and costs (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Platform.

12. Account Security

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify SigmaQu immediately of any unauthorized use of your account. SigmaQu will not be liable for any loss or damage arising from your failure to comply with this section.

13. Termination/Access Restriction

SigmaQu reserves the right, in its sole discretion, to terminate your access to the Platform and related services at any time, without notice, for any reason, including breach of these Terms.

14. Governing Law and Jurisdiction

This agreement is governed by the laws of Scotland. You hereby consent to the exclusive jurisdiction and venue of the courts in Scotland in all disputes arising out of or relating to the use of the Platform.

15. Copyright and Trademark Notices

All contents of the SigmaQu Platform are: Copyright 2024-2025 by SigmaQu and/or its suppliers. All rights reserved. The names of actual companies and products mentioned herein may be the trademarks of their respective owners. Any rights not expressly granted herein are reserved.

16. Notices and Procedure for Making Claims of Copyright Infringement

Pursuant to applicable UK and EU law, notifications of claimed copyright infringement should be sent to our Designated Agent. Please send all notices to hello@sigmaqu.com.
